Terms of Service
These Terms govern access to and use of Mimi's website, applications, live-stream shopping features, marketplace functions, and related services. They explain the rules that apply when you browse content, create an account, interact during a live stream, or buy or sell products through Mimi.

Please read these Terms carefully. By accessing or using Mimi, you agree to these Terms and our Privacy Policy. If you do not agree, you must not access or use the platform.
1 About these Terms
In these Terms, “Mimi,” “we,” “us,” and “our” refer to the operator of the Mimi platform (Mimi.online). “Platform” means Mimi's website, mobile applications, live-streaming functions, marketplace, and related services. “User” or “you” means any person who accesses or uses the Platform, including buyers, viewers, creators, and sellers.
Additional terms may apply to particular services, campaigns, sellers, payment methods, or promotions. Those additional terms form part of your agreement with us. If they conflict with these Terms, the more specific terms will apply to that service or transaction.
2 Eligibility
You must be at least 18 years old, or otherwise have the legal capacity required under applicable law, to create an account or enter into a purchase or sale through the Platform. If you use Mimi on behalf of a company or another organisation, you confirm that you are authorised to bind that organisation to these Terms.
You may not use the Platform if your access has previously been suspended or terminated for a serious or repeated breach, unless Mimi has expressly allowed you to return.
3 Accounts and account security
Some features require an account. You agree to provide accurate, complete, and current information and to update it when necessary. You are responsible for keeping your password, verification codes, and account credentials confidential and for activity carried out through your account, except where applicable law provides otherwise.
You must notify us promptly at info@mimi.online if you believe your account has been accessed without permission. We may request reasonable information to verify your identity before restoring access or making security-related changes.
4 The Mimi platform
Mimi provides technology that enables users to discover products, watch live-stream shopping content, communicate, and place orders. A product may be sold directly by Mimi or by an independent third-party seller. The identity of the seller should be shown on the relevant product page, order confirmation, or receipt.
Where a third-party seller is identified, the purchase contract for the product is between the buyer and that seller. Mimi may facilitate listings, communications, payments, delivery support, refunds, and dispute handling, but the seller remains responsible for its products, descriptions, warranties, legal compliance, and fulfilment obligations. Where Mimi is identified as the seller, the purchase contract is between you and Mimi.
Seller participation may be subject to separate seller terms, verification requirements, service fees, and operating rules.
5 Product information and live-stream presentations
We and our sellers aim to provide accurate product descriptions, images, prices, availability information, and live-stream demonstrations. Colours, dimensions, packaging, and other visual details may appear differently depending on lighting, video quality, or your device. A live-stream statement does not replace the written product information or any mandatory disclosure.
Obvious typographical, pricing, or technical errors may be corrected. If an error materially affects an order, the seller or Mimi will contact you and may offer correction, cancellation, or a refund, as appropriate and subject to applicable law.
6 Orders and contract formation
Submitting an order is an offer to purchase the selected product. Receipt of an automated acknowledgement does not necessarily mean the order has been accepted. An order is accepted when the seller confirms acceptance, processes shipment, or otherwise communicates acceptance.
An order may be rejected or cancelled for legitimate reasons, including unavailability, payment failure, suspected fraud, a material listing error, delivery restrictions, or a legal or regulatory requirement. If payment has already been collected for a cancelled order, the amount will be refunded through the original payment method or another lawful method.
7 Prices payments and taxes
Prices are shown in the currency displayed on the Platform. Any taxes, delivery charges, service fees, or other charges will be shown before you confirm the order where required. You authorise Mimi and its payment service providers to charge the payment method you select for the total amount shown at checkout.
Payments may be processed by banks, payment gateways, digital payment providers, or other third parties. Their own terms and privacy notices may apply. Mimi does not guarantee the continuous availability of any payment method and may add, remove, or restrict payment options for security, operational, or legal reasons.
You must not use a payment method without the account holder's permission, initiate an improper chargeback, or attempt to avoid fees, taxes, transaction limits, or security controls.
8 Delivery and collection
Estimated delivery or collection times are provided for convenience and are not guaranteed unless expressly stated. Delivery may be affected by the seller, courier, destination, weather, public events, customs, or circumstances outside reasonable control.
You are responsible for providing accurate delivery information and ensuring that someone authorised can receive the order. Risk of loss and ownership pass as provided by applicable law and the seller's disclosed delivery terms. If an order is lost, damaged, or materially delayed, contact Mimi or the seller promptly through the available support channel.
9 Cancellations returns refunds and warranties
Cancellation, return, exchange, and refund rights depend on the product, seller, reason for the request, condition of the item, and applicable law. The return policy displayed for the relevant product or seller forms part of your purchase terms. Nothing in these Terms limits a consumer right or remedy that cannot lawfully be excluded.
You should inspect products promptly after delivery and provide reasonable evidence when reporting a missing, defective, damaged, counterfeit, or incorrectly supplied item. Approved refunds are normally made to the original payment method, although processing times may depend on the payment provider. Products may also carry warranties offered by a manufacturer or seller.
10 Live streams comments and user content
The Platform may allow you to host or join live streams and to post comments, reviews, messages, images, videos, or other material (“User Content”). You retain ownership of your User Content. By submitting it, you grant Mimi a non-exclusive, worldwide, royalty-free, transferable, and sublicensable licence to host, store, reproduce, adapt, display, communicate, distribute, and use that content only as reasonably necessary to operate, promote, secure, and improve the Platform and Mimi's services.
You confirm that you own or have permission to use your User Content and that it does not violate another person's rights or any law. You are responsible for claims and representations you make during live streams or in other User Content. Paid endorsements, sponsorships, and commercial relationships must be clearly disclosed where required.
Mimi may moderate, restrict, remove, or preserve User Content when reasonably necessary to enforce these Terms, protect users, respond to complaints, comply with law, or maintain Platform quality. We are not required to pre-screen all User Content.
11 Acceptable use
You must not use the Platform to:
- break any applicable law, regulation, court order, or third-party right;
- sell, advertise, or distribute prohibited, unsafe, counterfeit, stolen, recalled, or unlawfully imported goods;
- make false, deceptive, or unsubstantiated claims about a product, price, discount, sponsorship, availability, or expected result;
- harass, threaten, exploit, discriminate against, impersonate, or unlawfully expose personal information about another person;
- upload malware, interfere with Platform security, scrape data without permission, bypass access controls, or disrupt the service;
- manipulate reviews, engagement, rankings, orders, promotions, payments, or refund processes;
- send spam, conduct unauthorised advertising, or collect user data for an unrelated purpose; or
- encourage, assist, or attempt any prohibited activity.
12 Reviews and communications
Reviews and ratings must reflect genuine experiences and must not be purchased, coordinated, or manipulated. Mimi may label or remove content that appears misleading, abusive, irrelevant, or connected with a conflict of interest.
Service communications, such as order confirmations, security alerts, policy notices, and account messages, form part of the Platform. Marketing communications will be sent in accordance with applicable law, and you may use the unsubscribe method provided where available.
13 Intellectual property
The Platform and its software, design, text, graphics, trademarks, logos, audiovisual materials, and other content are owned by Mimi or its licensors, except for User Content and third-party material. Subject to these Terms, Mimi grants you a limited, revocable, non-exclusive, non-transferable licence to access and use the Platform for its intended personal or authorised business purpose.
You may not copy, modify, distribute, sell, lease, reverse engineer, create derivative works from, or commercially exploit the Platform or Mimi content unless permitted by law or authorised in writing. If you believe content on Mimi infringes your intellectual property rights, contact info@mimi.online with details sufficient for us to assess the complaint.
14 Third party services and links
The Platform may link to or integrate with third-party websites, social networks, couriers, payment providers, and other services. Mimi does not control those services and is not responsible for their availability, content, security, or practices. Your use of a third-party service is governed by that provider's terms.
15 Promotions vouchers and rewards
Promotions, vouchers, discount codes, campaigns, and rewards may be subject to separate eligibility criteria, validity periods, product restrictions, redemption limits, and other conditions. Unless stated otherwise, they have no cash value, cannot be transferred or combined, and may be withdrawn or corrected in cases of error, abuse, fraud, or legal necessity. Any mandatory consumer rights remain unaffected.
16 Platform availability and changes
We aim to keep Mimi available and secure, but uninterrupted or error-free operation cannot be guaranteed. We may maintain, update, replace, suspend, or discontinue features for security, legal, technical, or business reasons. Where reasonably practicable, we will provide notice of a material change that significantly affects users.
17 Suspension and termination
You may stop using Mimi at any time and may request account closure through the available account tools or by contacting us. We may restrict, suspend, or terminate access where we reasonably believe there has been a breach of these Terms, fraud, security risk, harm to another person, prolonged inactivity, or a legal requirement. Where appropriate, we may provide notice and an opportunity to appeal or correct the issue.
Termination does not cancel rights or obligations that arose before termination. Provisions intended by their nature to continue, including payment obligations, intellectual property, liability, dispute, and enforcement provisions, will survive.
18 Disclaimers
To the maximum extent permitted by law, the Platform is provided on an “as available” basis. Mimi does not guarantee that every listing, seller statement, live-stream presentation, review, or third-party service will always be accurate, complete, current, or suitable for your particular purpose. You should review product information and exercise reasonable judgment before purchasing.
Nothing in these Terms excludes any guarantee, warranty, duty, right, or remedy that cannot lawfully be excluded or limited.
19 Limitation of liability
To the maximum extent permitted by applicable law, Mimi will not be liable for indirect, incidental, special, punitive, or consequential loss, or for loss of profit, revenue, data, goodwill, or business opportunity arising from use of the Platform. This limitation does not apply where liability cannot lawfully be excluded or limited, including liability resulting from fraud, wilful misconduct, or any other matter for which exclusion is prohibited by law.
Where Mimi may lawfully limit its aggregate liability, that liability will not exceed the amount paid to Mimi in connection with the transaction giving rise to the claim. This clause does not reduce any mandatory consumer remedy against the seller of a product.
20 Indemnity
If you use Mimi as a seller, creator, or for business purposes, you agree, to the extent permitted by law, to indemnify Mimi against third-party claims, losses, liabilities, and reasonable costs arising from your products, User Content, breach of these Terms, infringement of another person's rights, or violation of law. This obligation will not apply to the extent a claim was caused by Mimi's own unlawful conduct.
21 Events beyond reasonable control
Neither Mimi nor a seller will be responsible for delay or failure caused by events beyond reasonable control, such as natural disasters, severe weather, epidemic, conflict, civil disturbance, government action, power or telecommunications failure, cyberattack, transport disruption, or labour dispute. The affected party must take reasonable steps to reduce the impact and resume performance. Mandatory rights relating to cancellation or refunds remain unaffected.
22 Privacy
Our Privacy Policy explains how Mimi collects, uses, stores, and protects personal data. By using the Platform, you acknowledge that your personal data will be handled as described in that policy and in accordance with applicable law.
23 Changes to these Terms
We may update these Terms to reflect changes to the Platform, our business, security needs, or legal requirements. The revised version will state its effective date. Where a change materially affects your rights or obligations, we will provide reasonable notice through the Platform, by email, or by another appropriate method. Continued use after the revised Terms take effect constitutes acceptance, except where applicable law requires another form of consent.
24 Governing law and disputes
These Terms are governed by the laws of the Kingdom of Cambodia, without prejudice to any mandatory protections that apply to you. Before starting formal proceedings, you and Mimi should first try in good faith to resolve the dispute by written notice and reasonable discussion.
If the dispute is not resolved, it may be submitted to the competent courts of Cambodia, subject to any mandatory jurisdiction or dispute-resolution rights provided by applicable law.
25 General provisions
If any provision of these Terms is found invalid or unenforceable, it will be limited or removed only to the minimum extent necessary, and the remaining provisions will continue in effect. A delay in enforcing a right is not a waiver of that right.
You may not transfer your rights or obligations under these Terms without Mimi's prior written consent. Mimi may transfer these Terms as part of a reorganisation, financing, merger, acquisition, or transfer of the Platform, provided that your mandatory rights are not reduced.
These Terms, the Privacy Policy, and any applicable additional terms form the agreement between you and Mimi regarding the Platform. Electronic records and communications may be used to evidence transactions to the extent permitted by law.
